Terms and Conditions

Last updated: October 24, 2026

These Terms of Service (the "Terms") are a legal agreement between you and Light Speed Consulting Corporation, operating as Onlinedrive ("Onlinedrive", "we", "us" or "our"), 299 Northfield Drive East, Suite 1A Upper, Waterloo, Ontario N2K 4H2, Canada. They govern your use of the onlinedrive.io website, the Onlinedrive cloud storage service, the client panel, our APIs and any related services (together, the "Service").

By creating an account, redeeming a code, paying for a plan, or using the Service in any way, you agree to these Terms and to our Privacy Policy. If you are using the Service on behalf of a company or other organisation, you confirm that you have authority to bind that organisation, and "you" means that organisation. If you do not agree to these Terms, do not use the Service.

1. The Service

Onlinedrive provides online file storage, previewing, sharing and team collaboration through a web application. When you create a drive account you choose one of our storage regions (currently US West, US East, Canada, United Kingdom, Europe and Asia Pacific). The file content you upload to that drive account is stored in that region, as described in our Privacy Policy. Each drive account belongs to one region; you may hold drive accounts in several regions.

We may add, change or retire features, regions or plans. Where a change materially reduces what a paid plan includes, we will give you reasonable notice by email or through the client panel.

2. Eligibility and accounts

You must be at least 18 years old, or the age of majority where you live, to open an account. You must provide accurate information and keep your email address current, because we use it for security notices, billing and support.

You are responsible for everything that happens under your account. Keep your password confidential, use a password that is unique to Onlinedrive, and enable two-factor authentication in your profile. Tell us at once through support if you believe your account has been accessed without authorisation. We are not liable for loss caused by someone using your credentials, unless that use resulted from our negligence.

One person or organisation may hold one Free drive account. You may not create multiple Free accounts, use automated means to create accounts, or sell, rent or transfer an account without our written consent (we can transfer a drive account between customers on request; contact support).

3. Plans, billing and renewals

Plans. Current plans, storage quotas, workspace and member limits, file size limits and prices are published at /pricing. Storage quota counts all files you own, including files in your Trash until they are permanently deleted, and thumbnails or previews we generate for them. Files in a workspace count against the workspace owner's quota.

Annual plans renew automatically at the end of each term at the then-current price unless you cancel before the renewal date. We will email a renewal notice before charging you. If a renewal payment fails we will retry and notify you; if it remains unpaid the drive account may be suspended and then terminated as described in section 8.

Lifetime plans are paid once and remain active for the life of the Service without renewal fees, subject to these Terms. "Lifetime" means the lifetime of the Onlinedrive service, not the lifetime of the customer. If we ever discontinue the Service we will give lifetime customers at least 90 days' notice and the ability to download their files.

Free plan. The Free plan is provided as-is, may be changed or limited at any time, and may be closed after a prolonged period of inactivity following notice to your email address.

Upgrades and downgrades. Upgrades take effect immediately and are prorated where the plan allows. Downgrades take effect at the end of the current billing period. If your stored data exceeds the quota of a lower plan, you can still view, download, share and delete files but cannot upload until you are within quota.

Taxes. Prices exclude applicable taxes (such as HST, GST, VAT or sales tax), which are calculated at checkout based on the billing address you provide. You are responsible for providing accurate tax information.

Payment methods. We accept major credit and debit cards through Stripe, PayPal, and cryptocurrency through NowPayments. By providing a payment method you authorise us to charge it for the plan you selected and, for annual plans, for renewals. We do not store full card numbers; our payment processors do.

Price changes. We may change prices for future terms. Changes do not affect a term you have already paid for, and never affect the one-time price you paid for a lifetime plan.

4. Redemption codes and third-party offers

Many customers join Onlinedrive with a redemption code purchased from a partner such as a deal marketplace. A code grants the plan, storage amount and term stated in the offer, in one storage region of your choice, and nothing more unless the offer says otherwise. Codes are single-use, cannot be exchanged for cash, and expire if the offer says so. Purchases made from a partner are governed by that partner's refund policy; we cannot refund a payment we did not receive. We may refuse or revoke codes that were obtained fraudulently, resold in breach of the partner's terms, or redeemed in bulk by one person.

5. Refunds and cancellation

Cancellation. You can cancel an annual plan at any time from Subscriptions in the client panel. The plan stays active until the end of the period you have paid for. After that your drive account moves to the Free plan: your files are preserved, you can download and delete them, and you cannot upload new files while you are above the Free quota. You may also ask support to close your account and delete your data entirely.

Refunds. Fees are non-refundable except where these Terms, an express written guarantee, or applicable consumer law require a refund. If we materially reduce a paid plan or discontinue the Service, we will refund the unused portion of an annual term on a pro-rated basis. Payments made in cryptocurrency are never refundable. Any refund we do issue is made to the original payment method; where that is impossible we may issue account credit.

Chargebacks. If you dispute a charge with your card issuer or PayPal instead of contacting us, we may suspend the account until the dispute is resolved and recover any administrative fees charged to us. Please contact support first; we would rather fix the problem.

6. Your content

Ownership. You keep all rights to the files you store. We claim no ownership of your content.

Licence to operate. You grant us a limited, non-exclusive licence to store, copy, transmit, display and generate previews and thumbnails of your content solely as needed to provide the Service to you and to the people you share with, and to comply with law. This licence ends when you delete the content or close your account, subject to the backup retention periods in our Privacy Policy.

Responsibility. You are solely responsible for your content and for having the rights to store and share it. We do not review files you upload. We may remove or disable access to content, or suspend an account, if we reasonably believe it breaches these Terms or the law, or if we receive a valid complaint, court order or government request.

Sharing. When you share a link or invite a person, you are responsible for what they can see and do. Public links can be opened by anyone who has the link; use passwords and expiry dates for sensitive material and revoke links you no longer need. Direct links are for embedding your own content on sites you control, not for operating a public download or media hosting service.

Workspaces. A workspace and the files in it belong to the workspace owner. Members act under the role the owner or an admin assigns. When a member leaves or is removed, files they uploaded stay with the workspace. Owners are responsible for who they invite.

7. Acceptable use

You agree not to use the Service to store, share or distribute anything that:

  • is illegal where you live or where the files are stored, or that infringes someone else's copyright, trade mark, privacy or other rights;
  • contains child sexual abuse material, or promotes terrorism, violence or hatred against protected groups;
  • contains malware, phishing pages, credential dumps, stolen data, or tools intended to compromise systems;
  • is used to harass, defame, stalk or threaten anyone, or to share intimate images without consent;
  • violates sanctions or export control laws of Canada, the United States, the United Kingdom or the European Union.

You also agree not to:

  • attempt to gain unauthorised access to the Service, other customers' accounts or data, or our systems, or to probe, scan or test their vulnerability except through a responsible disclosure to support;
  • interfere with the Service, for example by sending excessive automated requests, circumventing quotas, rate limits or file size limits, or using the Service as a general-purpose content delivery network or backup target for unrelated servers;
  • resell, sublicense or offer the Service to third parties as your own, unless you have a written reseller agreement with us;
  • use the Service to send unsolicited bulk email, or share links in spam;
  • misrepresent who you are, or impersonate Onlinedrive staff.

Infringement notices. If you believe content on Onlinedrive infringes your copyright, send a notice to support@onlinedrive.io with your contact details, the specific link or file, a description of the work infringed, and a statement made in good faith that you are the owner or authorised to act for the owner. We respond to valid notices under the Copyright Act (Canada), the US Digital Millennium Copyright Act and equivalent laws by removing or disabling access to the material and notifying the account holder, who may respond.

8. Suspension and termination

By you. You may stop using the Service at any time, cancel paid plans from the client panel, and ask support to delete your account.

By us. We may suspend or terminate your account, with notice where practical, if you breach these Terms, fail to pay fees when due, create risk or legal exposure for us or other customers, or if we are required to do so by law. For unpaid renewals we will normally suspend the drive account first (files preserved, no access) and give you at least 14 days to pay before terminating it.

Effect. When a drive account is terminated, access ends immediately. We retain the files for 30 days so you can ask support to restore the account and download them, after which they are permanently deleted, subject to the backup retention described in our Privacy Policy. Files in workspaces owned by the terminated account are deleted with it; members should download anything they need beforehand. Sections 5, 6, 9, 10, 11 and 12 survive termination.

9. Availability, backups and your responsibilities

We aim for 99.9% monthly availability of the Service, excluding scheduled maintenance announced in advance and events outside our reasonable control. We store files on redundant object storage in your chosen region and operate monitoring around the clock. However, the Service is not a substitute for your own backups of irreplaceable data, and we do not keep historical versions of your files. You are responsible for keeping an independent copy of anything you cannot afford to lose, and for checking that uploads completed successfully.

10. Disclaimers

The Service is provided "as is" and "as available". To the fullest extent permitted by law we disclaim all warranties, express or implied, including fitness for a particular purpose, non-infringement, and that the Service will be uninterrupted, error-free or completely secure. Some jurisdictions do not allow certain disclaimers; where that is the case, the disclaimer applies to the extent permitted.

11. Limitation of liability

To the fullest extent permitted by law, Onlinedrive, Light Speed Consulting Corporation and their directors, employees and suppliers are not liable for any indirect, incidental, special, consequential or punitive damages, or for loss of data, profits, revenue, goodwill or business opportunity, arising from or related to the Service, even if advised of the possibility. Our total liability for all claims relating to the Service in any 12-month period is limited to the amount you paid us for the Service in that period, or CAD $100 if you paid nothing. Nothing in these Terms limits liability that cannot be limited under applicable law, including under consumer protection legislation in your province or country.

12. Indemnity

You will defend and indemnify Onlinedrive and Light Speed Consulting Corporation against claims, damages and reasonable costs (including legal fees) arising from your content, your use of the Service in breach of these Terms, or your violation of law or of a third party's rights.

13. Communications

We will send you service and billing emails such as receipts, renewal notices, security alerts and support replies; you cannot opt out of these while you hold an account. Marketing emails are optional and every one includes an unsubscribe link. You consent to receive electronic communications and agree that they satisfy any legal requirement that communications be in writing.

14. Affiliate program

If you join our affiliate program you also agree to the Affiliate Terms. Commissions are paid only on qualifying purchases tracked through your affiliate link or coupon, as shown in your affiliate dashboard.

15. Changes to these Terms

We may update these Terms from time to time. We will post the new version here with a new "last updated" date and, for material changes, notify you by email or in the client panel at least 14 days before they take effect. Continuing to use the Service after that date means you accept the new Terms. If you do not accept them, cancel the Service before they take effect; annual customers will receive a pro-rated refund of unused fees in that case.

16. Governing law and disputes

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-law rules. You agree to the exclusive jurisdiction of the courts of Ontario for any dispute arising from these Terms or the Service, except that either party may seek injunctive relief in any competent court to protect its intellectual property or confidential information. If you are a consumer in a jurisdiction whose law gives you the right to bring claims in your local courts or under local consumer law, nothing here takes that right away.

Before starting any formal proceeding, please contact support so we can try to resolve the matter informally within 30 days.

17. General

These Terms, the Privacy Policy and any order confirmation make up the entire agreement between you and us about the Service. If any provision is held unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them to an affiliate or a successor to our business. We are not liable for delays or failures caused by events beyond our reasonable control. The Terms bind and benefit the parties' successors and permitted assigns.
